After investing 10 years developing a whole-systems, mutual-investor-owner-tenant PRI solution for Sustainably Affordable Urban Neighborhood Re-development, initially in Chicago. After evaluating the 501c3, I have decided togo with an L3C to promote, license and franchise the program's I.P./copyrights to other L3C developers using PRIs. I am currently approaching several pro bono legal aid law clinics but they are not proficient with L3Cs My experience is only Design/build res. remodeling architect & P.M. so will need to build an small org with key-function members . I represent a co-op. we are incorporated as a cooperative (in Ohio) and are seeking the 501(3)(c) tax-exempt status. We are looking at ways to structure the "co-op" in a way that would create a memberships status that functions more like a trust beneficiary (with Crummey-like powers), whereas a "member/beneficiary" has the option of reinvesting or drawing any cash. what are the legal obstacles to this type of set-up? The set-up envisioned gives the "Co-op" a better Value-Proposition than a traditional Co-op or a pure trust. Would this set-up be better accomplished with a regular cooperative (incorporated) with a separate private contract (trust)? Mike Hannigan was inspired by Paul Newman and his business, Newman's Own to create a business with a philanthropic mission and Mike Hannigan, just like, Paul Newman does not stop there. Mike considers promoting this model to others by speaking and lecturing. Mike believes that there is an emerging trend for business startups with a social mission and articles like yours help give Mike Hannigan a helping hand in his broader mission.

Noah says "we informed employees of their options" and "after carefully considering the options, the drivers elected not to go with it" ... can you guess what the "options" were? Subsequent to the Union Election, reasons were found to terminate all pro-Union drivers.

Yes, Yes Noah is a "supporter of the Union Movement" ... just not in HIS business which, although it had grown to a large wholesale operation .. had 40 retail outlets .. and sold for $100 million ... he nevertheless describes as a "family environment". Mr. Alper hired the Littler Mendelson Union busting firm to inform his employees of their options ... complete with bribes and threats. The Union effort lost by one vote, and Noah's survived "Union Free". The policy which precipitated the Union Effort, MANDATORY OVERTIME ON DEMAND, remained unchanged. All under the leadership of a do-gooder Mensch ... a decent upright person.

Ray i saw you guys play the ritz niteclub in ny mid eighties, then ran away to the west coast to wait for reagan and thatcher to blow up the world....which didn't happen quite yet. Now i am a wanna be yuppie and middle aged father of a 5 y.o.; do you find that being part of the dead kennedy's has given you a perspective that makes you more positive or negative about the future. rft

My H.E.L.L.P model also includes multi-mixed use incubators, distributed rooftop virtual farms, virtual distributed TOD and meets most CNU charter goals.
